COURSE DESCRIPTION
Economic participation and voting control are the two idicia of ownership in a corporation. Though shares of stock in a C or S Corp generally carry both economic rights and voting rights there are many instances in which the company and its stakeholders want or need to separate or otherwise disproportionately allocate economic and voting rights. This program will provide you with a guide to drafting multiple classes and series of stock in closely held corporations.
